A General Meeting is the formal process by which the members of Wales Netball exercise their governing power. While the Board of Directors manages the day-to-day business, the voting members hold the ultimate authority to direct specific actions through special resolutions.

Types of Meetings

• Annual General Meeting (AGM): A mandatory yearly meeting where the core democratic functions of the Association take place, such as the election of the President and Vice President. Because the Board is responsible for the management of the Association's business in accordance with its Objects (such as promoting netball in Wales and ensuring the sport's safety and integrity), the AGM serves as the primary formal occasion for members to hold the Board accountable for these responsibilities.

• General Meetings (including EGMs): Any meeting of the members called outside of the AGM cycle to handle urgent or specific business. Also known as an Extraordinary General Meeting.

   
   

Notice and Participation

• Notice Period: For individuals seeking election as a Director (President or Vice President) at an AGM, written nominations must be received at least six weeks prior to the meeting date. Nomination windows will be detailed on this page each year.

   

• Who Can Attend:

  * Voting Members: Individual members (18+), and one representative from each member club, school, college, university, or Area Association.

   

  Non-Voting Members: While they are part of the Association, non-voting members are not entitled to attend, speak, or vote at General Meetings.

   

Voting Rights

• One Member, One Vote: Each voting member (individual or organisational representative) is entitled to one vote.

   

• Simple Majority: Most decisions, including the election of Directors, are made by a simple majority of voting members.

• Special Resolutions: For major decisions, such as directing the Board to take a specific action, a special resolution is required.

   

• Membership Fees: A vote of the members is required if the Board proposes to increase annual membership fees by more than the Consumer Prices Index (CPI) or 5% (whichever is lower).

   

Governance and Quorum

• The Chair: General Meetings are typically presided over by a designated Chair.

   

• Proxies: Members who cannot attend in person may appoint a proxy to vote on their behalf.

   

• Liability: Member liability is limited to a symbolic £1 in the event the Association is wound up.
